Agricultural land tokenisation project

Dear clients,

We would like to inform you about the further development of this project of the APF GROUP (VERDANT).

The agricultural land tokenization project is divided into the following 3 parts:

1) Fund of qualified and professional investors APF GROUP EUROPE SICAV P.L.C. (VERDANT fund)

We expect the start of the fund's activities in accordance with the relevant European legal standards during October 2024.

The fund manager is AQA Capital Ltd. based in Malta.

The fund will be used to enhance the financial resources of agricultural investors in the Czech Republic. Half of the investment funds will be directed to the implementation of agricultural projects and half will be used for the purchase of agricultural land through the tokenization of agricultural land in accordance with the long-term strategy of the APF GROUP (VERDANT).

By selling investment shares of the fund, we will directly support the sale of the APFC token and the subsequent purchase of agricultural land belonging to the APF GROUP (VERDANT).

The APFC token thus becomes part of a regulated entity that is harmonized according to the European AIFMD directive. The strategy of purchasing the APFC token into the assets of the VERDANT fund is included in the fund's statute.

2) Cryptocurrency exchanges (secondary market)

As part of further use of the token and its liquidity (monetization speed), we are listed on 9 cryptocurrency exchanges. These are MEXC, BingX, LBank, BitMart, XT.COM, P2B, LATOKEN, CoinW, Biconomy.com.

We have currently signed an agreement to list our token on the AscendEx (BitMax) exchange (TOP 25) with an average daily trading volume of CZK 21.5 billion.

Until the end of 2024, we will continue to strengthen our position in the TOP 25 and we are finalizing the negotiations for listing on the stock exchange in the TOP 10.

3) Direct sale of APFC token (OTC - primary market) to clients of APF GROUP (VERDANT)

Clients of the APF GROUP can take advantage of the APFC token by directly buying into their ownership through an over-the-counter (OTC) purchase contract. The funds obtained from the sale of the APFC token are intended for the purchase of agricultural land owned by the APF GROUP (VERDANT). Securing the repurchase of the APFC token by a lien on purchased agricultural land registered in the land registry in favor of the security agent (mortgagor).

The APFC Token Sale is governed by the applicable APFC Memorandum.
